Position Title: Member, Board of Directors
Reports To: Board Chair / Executive Director (as appropriate)
Term: Typically 2–3 years, renewable by board approval

Purpose of the Position

The Board of Directors provides strategic leadership, governance, and oversight to ensure the organization fulfills its mission, vision, and values. Board members serve as ambassadors and advocates, supporting the organization’s goals through sound decision-making, fiduciary responsibility, and community engagement.

Key Responsibilities

1. Governance & Oversight
	•	Ensure the organization operates in accordance with its mission, vision, and values.
	•	Approve strategic plans, annual budgets, and major policies.
	•	Monitor organizational performance and financial health.
	•	Support and evaluate the Executive Director or CEO.

2. Fiduciary Duties
	•	Exercise the duty of care, loyalty, and obedience to the organization.
	•	Review financial statements and ensure resources are used effectively.
	•	Oversee compliance with legal and ethical standards.

3. Strategic Leadership
	•	Contribute to long-term planning and organizational sustainability.
	•	Provide input on key initiatives and community partnerships.
	•	Help identify and manage risks to the organization.

4. Advocacy & Representation
	•	Act as an ambassador in the community, promoting the organization’s programs and impact.
	•	Support fundraising efforts through connections, donations, and advocacy.
	•	Uphold the organization’s public image and values in all activities.

5. Meetings & Participation
	•	Attend and actively participate in all board meetings and committees.
	•	Prepare for meetings by reviewing materials in advance.
	•	Participate in strategic planning sessions, annual general meetings, and major events.
