Board Secretary - Board of Director Volunteer Position

3-4 hours / monthly
2 Year Term
• Take accurate minutes and notes at Board Meetings, the Annual General Meeting, and other meetings as requested (e.g., committee meetings, strategy sessions)
• Produce and deliver final minutes in a timely manner for Board review, distribution, and action
• Maintain strong organizational practices to ensure timely preparation of agendas, minutes, and follow up documentation
• Distribute Executive Committee minutes and action items promptly after meetings
• Notify Board Members of Board Meetings and Annual General Meetings
• Compile, organize, and maintain corporate records.
• Demonstrate leadership and participate in decision making processes
• Create and maintain a pending items / open issues list for the Board of Directors
• Assist with preparation and amendment of organizational regulations, authority documents, governance guidelines, and risk management frameworks
Additional Details & Skills Required
•	Experience in minute taking and meeting documentation
•	Understanding of the functioning of charitable/not for profit organizations
•	Familiarity with board and/or committee meeting structures and processes
•	Experience in a not for profit environment (asset)
