ABOUT THE LEFTOVERS FOUNDATION The Leftovers Foundation is one of Canada’s largest tech-enabled food rescue organizations. The Leftovers Foundation’s mission is to reduce food waste and prevent the greenhouse gas emissions caused when good food is left to rot. We believe one of the best ways to do that is to get the food to community organizations working with vulnerable populations, ensuring that it can be used where food is most needed. Our flagship program, Rescue Food, mobilizes volunteers through a dedicated app to connect local vendors who have surplus food to service agencies running food access programming. Leftovers currently operates in Calgary, Edmonton, Hinton, Airdrie, Red Deer, Lethbridge, Saskatoon, Regina, Winnipeg, Selkirk and Gimli. ABOUT THE HR & GOVERNANCE COMMITTEE POSITION We are currently recruiting for community members in Winnipeg, Calgary, or Edmonton, to remotely join our Board, on a volunteer basis, and also be a part of the Human Resources & Governance Committee. The purpose of the HR & Governance Committee is to ensure that the Board fulfills its legal, ethical, and functional responsibilities through good governance policy development, oversight of the risk management policies and practices of the Board, recruitment strategies, training programs, monitoring of Board activities, and evaluation of Board members' performance. The Committee maintains policies and procedures that protect and enhance the operations of the Board and staff. KEY ACCOUNTABILITIES AND RESPONSIBILITIES Support HR matters related to the Executive Director position: - Advise the Executive Director on HR matters. - Complete an annual performance evaluation of the Executive Director. - Overseeing recruitment, selection and succession planning of the Executive Director position. Manage recruitment, training, performance management, and engagement activities for the Board: - Maintain an inventory of the skills, capabilities, and other desirable characteristics of Directors. - Annual review of the size, composition, diversity, and structure of the Board of Directors and its committees. - Develop position descriptions for Board Directors. - Interview prospective Board members. - Ensure proper orientation, support and continuing education for Directors. - Establish and maintain criteria to measure the Board’s’ performance, engagement, and satisfaction. - Develop and oversee the annual performance review process for the full Board, the self-assessment by individual Directors and performance assessments of Board committees. - Support Board social events to encourage a dynamic, positive, and engaging Board experience. Support good governance through policy reviews and Board advisement: - Develop and recommend appropriate policies and procedures to ensure sound governance policies and practices are in place. - Review periodically the adequacy and effectiveness of governance documents, including the by-laws, policies, procedures, and committee terms of reference, making recommendations for change, as appropriate, to the Board of Directors. Help the Foundation and Board identify and manage its risks: - Approve and periodically review the Foundation’s risk management policies and practices. - Identify and report risks and risk management deficiencies, including emerging risks, and ensure the effective and timely implementation of actions to address emerging risks and risk management deficiencies of the Foundation’s operations. QUALIFICATIONS The ideal candidate will have professional senior human resources and nonprofit experience, be passionate about the Leftovers’ mission, and be willing to be an active contributor as a volunteer.
