Did you know that every year 1 million children are identified with a developmental disability? Buds in Bloom | Bourgeons en Éclat is looking to nominate a volunteer to complement our Board of Directors; all residents of Calgary, Alberta. 

The Secretary is an officer of the Board of Directors, Executive Committee member, and Director of charitable governance. Applicants must have a professional portfolio in law with charitable organization board experience, and philanthropic work. The Secretary's contribution will in turn help open doors for Corporate Giving, sponsorship funding and child sponsorships, bringing relief, hope and empowerment to children and families.

Responsibilities:
1- The change you will bring with your mandate as Secretary is helping us achieve charitable status by revising the charitable activities by latest December 13th.
2- As one of three officers of the organization, the Secretary advises and executes in matters of governance and policy, ensuring alignment with fiscal and legal rules and regulations, regarding financing, compensation, operational processes, public relations/ communications, fundraising, as well as other charitable initiatives and matters.
3- Revising legal drafts/documents/agreements as needed, among other tasks as assigned. 
4- Taking Minutes at Board and Annual Meetings, and preparing the Annual Minutes Book.
5- Quarterly reporting Minutes to the Board.
6- Weekly reporting to the President on charitable activities (1 to 2 mths.).
7- Annual reporting of Minutes Book and membership summary to the members at the AGM.

Time Commitment:
The Secretary is required to attend all four Board meetings- one per quarter-, and the Annual General Meeting (AGM). Board meetings are held in person in Calgary, Alberta, lasting one to two hours. Participation in advancing the Charity status represents about 2 to 3 hours per week until submitted (estimated in December, latest January 2020). The next Annual General Assembly (AGA or AGM) will be held in late January 2020, at which time new matters are discussed and voted on. Thus, the total minimum contribution of each Board member is about 100 hours per year or about 10 hours per month. Additional time commitments are given for fundraising events as feasible. 

An initial three-year mandate is preferred.
Additional Details & Skills Required
Excellence in communications.
Excellence in legal writing in English a must, and French an asset.
A strong proven record in not-for-profit/ charity law in Canada, and governance of nonprofit organizations and Charities.
Certification or Education Required
A degree in law.
Proficiency in Canada not-for-profit/ Charity governance.
