Corporate Lawyer for new Co-operative

Present-First Co-op AGM (14 months)
We are a passionate group of volunteers (and one staff) who are seeking legal counsel in transitioning our successful program from a Community Association project to a full-fledged independent cooperative.

Duties: 

Assist in navigating the unique governance, financial, and tax requirements of a cooperative from the Incorporation to first Annual General Meeting (AGM)
Review the draft of our Articles of Incorporation before we submit them officially
Advise on the details of the proposed cooperative Bylaws and advise stakeholders on their rights with regard to finances, voting, and influencing decisions
Help us ensure that our articles and bylaws are consistent with our mission and vision, while remaining compliant with the Cooperatives Act.
Advise on the most effective Share Structure to use for our unique needs.
Help us understand the legal rights and duties, including the duties and responsibilities of corporate officers and cooperative stakeholders
Help us to ensure that the cooperative governance and financial structure comply with provincial and federal laws
